1. Introduction
Welcome to Haynes Digital Systems (“we”, “our”, “us”). By accessing our website, purchasing our services, or using our software and platforms, you agree to be bound by these Terms of Service.
If you do not agree with these Terms, you must not use our services.
2. Services
Haynes Digital Systems provides digital business solutions including but not limited to:
- Website Design & Development
- Website Hosting & Maintenance
- Website Care Plans
- CRM Software
- AI Automation
- SMS & Email Marketing
- Live Chat & Webchat
- Reputation Management
- Payment Processing Integrations
- Appointment Scheduling
- Marketing Automation
- Other digital business services
We reserve the right to modify or discontinue any service at any time.
3. Quotes & Payments
- All prices are quoted in GBP (£).
- Payment is due according to the invoice or subscription agreement.
- Website projects may require payment before work begins unless otherwise agreed.
- Subscription services renew automatically unless cancelled in accordance with these Terms.
- Failure to make payment may result in suspension or termination of services.
4. Free Trials
Where a free trial is offered:
- No charges are made during the trial period.
- Unless cancelled before the trial ends, your subscription will automatically begin and the applicable monthly fee will be charged.
- You may cancel at any time before renewal.
5. Pricing, Setup Fee & Subscription
Certain services offered by Haynes Digital Systems are provided under a subscription model.
For eligible Website Care Plans and related services:
- A one-time setup fee of £150 is charged at the time of purchase. This fee covers the initial website setup, configuration, onboarding, and implementation of your services.
- Following payment of the setup fee, you will receive a 60-day free trial of the Website Care Plan at no additional cost.
- If you do not cancel before the end of the 60-day trial period, your subscription will automatically renew at £97 per month using your chosen payment method.
- You may cancel your subscription at any time during the trial period to avoid future monthly charges. The £150 setup fee is non-refundable, as it covers work completed to set up your account and services.
- After the trial ends, the monthly subscription will continue until cancelled. Cancellation will stop future billing but does not entitle you to a refund for any payments already made.
- Haynes Digital Systems reserves the right to suspend or terminate services if subscription payments cannot be successfully collected.
6. Website Projects
Project timelines depend on receiving all required content and approvals from the client.
Delays caused by missing content or lack of communication may extend delivery dates.
Unless otherwise stated in writing:
- One homepage design is included.
- Reasonable revisions are included.
- Additional revisions or major scope changes may incur additional charges.
7. Client Responsibilities
You agree to:
- Provide accurate information.
- Supply required content promptly.
- Ensure you have permission to use all text, images, logos and other materials provided.
- Keep account credentials secure.
You remain legally responsible for all content published on your website.
8. Website Care Plans
Website Care Plans may include:
- Website updates
- Security monitoring
- Software updates
- Website backups
- Technical support
- Minor content changes
Care Plans do not include complete website redesigns or new functionality unless specifically stated.
Unused support time does not roll over.
9. Software Services
Where access is provided to CRM software or other platforms:
- Access is licensed, not sold.
- Accounts may not be shared without permission.
- We may suspend accounts used unlawfully or abusively.
- Third-party platforms may have their own terms which also apply.
10. Third-Party Services
Some services rely on third-party providers including domain registrars, payment processors, hosting providers, SMS providers, email providers and AI technologies.
We are not responsible for outages, pricing changes, service interruptions or policy changes made by third-party providers.
11. Intellectual Property
Unless otherwise agreed:
- Upon full payment, you own the final website design and original content created specifically for your business.
Haynes Digital Systems retains ownership of:
- Proprietary software
- Templates
- Internal systems
- Automation frameworks
- Source code libraries
- Branding materials
We may display completed work within our portfolio unless requested otherwise in writing.
12. Cancellations
- Monthly services may be cancelled with at least 30 days' written notice before the next billing date.
- Website Care Plans and software subscriptions remain active until the end of the current billing period.
- No partial refunds are provided for unused subscription periods.
13. Refund Policy
Due to the nature of digital services:
- Deposits are non-refundable.
- Completed work is non-refundable.
- Subscription payments already processed are non-refundable except where required by law.
- Refund requests are considered individually where appropriate.
14. Service Availability
We aim to provide reliable services but do not guarantee uninterrupted or error-free operation.
Scheduled maintenance may occasionally affect availability.
15. Limitation of Liability
To the maximum extent permitted by law, Haynes Digital Systems shall not be liable for:
- Loss of profits
- Loss of business
- Loss of data
- Indirect or consequential damages
- Third-party failures
- Cyber attacks beyond our reasonable control
Our total liability shall not exceed the amount paid by you for the relevant service during the preceding 12 months.
16. Acceptable Use
You agree not to use our services for:
- Illegal activity
- Fraud
- Spam
- Malware
- Copyright infringement
- Harassment
- Hate speech
- Distribution of harmful content
Accounts may be suspended without notice where misuse is identified.
17. Data Protection
We process personal data in accordance with our Privacy Policy and applicable UK data protection laws.
18. Force Majeure
We shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, internet outages, government actions or third-party infrastructure failures.
19. Changes to These Terms
We may update these Terms from time to time.
Continued use of our services following updates constitutes acceptance of the revised Terms.
20. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
